NotesHQ / Terms of service

Terms of service.

The rules of using NotesHQ. We've kept them as short and human as we can, because nobody reads the long ones.

Last updated · May 15, 2026 v2.1 Governed by English law

The agreement.

NotesHQ is a product of ZShift Ltd, a company registered in England and Wales (company no. 14782359), with its registered office at 88 Gillingham Road, Gillingham, Kent ME7 4EP, United Kingdom. By creating an account or using NotesHQ, you agree to these terms.

If you're using NotesHQ on behalf of a company, you confirm you have authority to bind that company to these terms.

Your account.

Your content stays yours.

Everything you put into NotesHQ — text, sketches, audio, files — is yours. You keep ownership and all intellectual property rights. You grant us a narrow licence to store, process, transmit, encrypt, and display your content solely to operate NotesHQ for you. That licence ends when you delete the content or your account.

We do not use your content to train AI models. We do not sell it. We do not look at it unless you ask us to (for support) and even then a human at NotesHQ only sees what you explicitly share.

Acceptable use.

Don't use NotesHQ to:

Payments & refunds.

Pebble hardware.

When you buy a Pebble device, the following extra terms apply:

Service availability.

We work hard to keep NotesHQ up. We don't guarantee 100% uptime — nobody can — but we publish our status at status.noteshq.app and aim for 99.9% monthly availability. If we have a major incident, you'll see it on the status page within minutes.

AI features (NoteChat, NoteQ) require an internet connection and depend on third-party providers. They may briefly be unavailable. Your notes stay accessible regardless.

Liability, plainly.

We provide NotesHQ "as is." We do everything reasonable to keep your data safe, and our actual track record is good — but we can't promise zero bugs or zero downtime. To the extent allowed by law, our total liability to you for anything related to NotesHQ is capped at the amount you've paid us in the previous 12 months, or £100, whichever is greater.

Nothing in these terms limits liability for death, personal injury, or fraud — because that would be wrong.

Ending the agreement.

You can close your account anytime from Settings → Account. We'll purge your data within 30 days. We can suspend or close an account if it violates these terms or puts other users at risk — we'll tell you why and, where possible, give you a chance to fix it.

Changes to these terms.

If we change anything material, we'll email you at least 30 days before it takes effect, and you can close your account if you disagree. Small fixes (typos, clarifications) we just push through.

Governing law.

These terms are governed by the laws of England and Wales. Any dispute we can't resolve through a friendly email goes to the courts of England and Wales. Consumers retain all rights under their local consumer law.
